Dividend
If the above dividend proposal is adopted, the shares will be traded ex-dividend as of 22 April 2021. The dividend record date will be 23 April 2021. Shareholders will be given the opportunity to make their choice between cash and shares from 26 April 2021 up to and including 11 May 2021, 3:00 pm CET. If no choice is made during this election period, the dividend will be paid in cash. The shares to be issued as stock dividend are paid out of additional paid in capital as part of the distributable reserves, free of withholding tax in the Netherlands. The number of share dividend rights entitled to one new common share will be determined based on the volume-weighted average price of all traded PostNL ordinary shares at Euronext Amsterdam on 7, 10 and 11 May 2021. The value of the stock dividend, based on this VWAP, will, subject to rounding, be targeted at but not be lower than the cash dividend. There will be no trading in stock dividend rights.
